Terms of Service

By accessing our website at webenova.co or engaging our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

These terms apply to all clients, visitors, and users of Webenova's website and services. We reserve the right to update these terms at any time. Continued use of our services after changes constitutes acceptance.

Webenova provides custom AI development services including, but not limited to: AI chatbot development, content generation tools, business process automation, AI dashboards, white-label AI applications, and AI strategy consulting.

The specific scope, deliverables, timeline, and price for each engagement are agreed in writing before work begins. Any request outside the agreed scope is subject to a separate change order and additional fees.

Quotes and proposals generated through our website (including the interactive quote builder) are indicative estimates only. A binding agreement is only formed when both parties have confirmed the final scope in writing and the deposit has been received.

We reserve the right to decline any project without obligation to provide a reason. Quote estimates are valid for 14 days from the date of issue.

Our standard payment structure for project-based work is:

• 30% deposit required upfront to secure your project slot and begin work
• 70% balance due on project completion and client sign-off
• Retainer fees are billed in advance on a monthly, quarterly, or annual basis

Invoices are due within 7 days of issue unless otherwise agreed in writing. We reserve the right to pause or suspend work on accounts with outstanding invoices more than 14 days overdue.

All prices are in USD unless explicitly stated otherwise. Applicable taxes (including VAT where required) will be added to invoices as required by law.

Payments are processed via Stripe. By providing payment details, you authorise us to charge the agreed amounts on the agreed schedule.

Estimated timelines are provided in good faith based on project scope at the time of agreement. Timelines may be affected by factors outside our control, including delays in client-provided feedback, assets, or access.

All standard project engagements include:

• 2 rounds of revisions within the agreed scope
• 30 days of post-launch support for bug fixes related to the delivered work
• A handoff session (via Loom recording or written documentation)

Additional revisions or changes beyond the agreed scope will be quoted as change orders before work begins. We will always communicate scope changes in writing before proceeding.

To enable us to deliver your project on time and to the agreed standard, you agree to:

• Provide timely feedback within agreed review windows (typically 48–72 hours)
• Supply all required assets, access credentials, and content in a timely manner
• Designate a single point of contact with authority to approve deliverables
• Ensure all content and materials you provide do not infringe third-party rights
• Keep login credentials and API keys we provide confidential and secure

Delays caused by the client's failure to meet these responsibilities may result in revised timelines and, where significant, additional fees.

Upon receipt of full payment, Webenova assigns to the client full ownership of the custom code, designs, and deliverables created specifically for their project (“Custom Work”).

The following are not included in this assignment and remain the property of Webenova or their respective owners:

• Third-party libraries, frameworks, and open-source components (governed by their own licences)
• Our proprietary development tools, templates, and internal frameworks
• AI model weights and APIs provided by third parties (OpenAI, Anthropic, etc.)
• White-label products (Personik, Pikodee) — licensed, not sold — subject to separate licence terms

You grant us a non-exclusive licence to display the project in our portfolio and marketing materials unless you request otherwise in writing before the project begins.

Both parties agree to keep confidential any non-public information shared during the engagement, including business processes, technical specifications, pricing, and client data.

This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

We will not share your project details, business information, or personal data with any third party except as required to deliver the services (e.g. hosting providers, AI APIs).

Some deliverables may include or be generated by artificial intelligence tools. You acknowledge that:

• AI-generated content should be reviewed before publication or use in regulated contexts
• We do not guarantee the accuracy, completeness, or fitness for purpose of AI-generated output
• Responsibility for verifying AI-generated content before use lies with the client
• AI models may occasionally produce unexpected or incorrect outputs

We apply professional judgement and quality review to all AI-generated work before delivery, but cannot guarantee perfection.

Monthly retainer agreements run on a rolling basis and can be cancelled with 30 days' written notice. Cancellation takes effect at the end of the current billing period.

Annual and quarterly retainers are non-refundable except where Webenova is in material breach of the agreement.

Unused development hours in a given month do not roll over to the following month unless otherwise agreed in writing.

We reserve the right to adjust retainer pricing with 60 days' written notice. If you do not agree to the new pricing, you may cancel your retainer within that notice period without penalty.

The 30% deposit is non-refundable once work has commenced, as it covers time already allocated and initial work performed.

If you cancel a project before work begins, the deposit will be refunded in full within 14 days.

If Webenova is unable to deliver the project due to circumstances within our control, we will refund any amounts paid for undelivered work.

Dissatisfaction with the creative direction is not grounds for a refund where work has been delivered within the agreed scope. We strongly encourage clients to review and provide feedback at each milestone to avoid misalignment.

To the fullest extent permitted by law, Webenova's total liability to you for any claim arising from or related to these terms or our services shall not exceed the total fees paid by you in the three months preceding the claim.

We are not liable for:

• Indirect, incidental, or consequential damages
• Loss of profit, revenue, data, or business opportunity
• Downtime or interruption to third-party services (hosting, AI APIs, etc.)
• Outcomes resulting from client modifications to delivered work
• Decisions made based on AI-generated content or recommendations

We warrant that services will be performed with reasonable skill and care, and that deliverables will substantially conform to the agreed specification at the time of delivery.

We do not warrant that AI tools or software we build will be error-free, uninterrupted, or suitable for any particular purpose beyond what is explicitly agreed in writing.

All other warranties, express or implied, are excluded to the fullest extent permitted by law.

Neither party shall be liable for delays or failures caused by circumstances beyond their reasonable control, including natural disasters, government actions, internet outages, or failure of third-party services.

These terms are governed by the laws of Portugal. Any disputes shall be subject to the exclusive jurisdiction of the courts of Portugal.

For clients in the European Union, your statutory consumer rights are not affected by these terms.
